Terms of Service

Last updated: September 2026

1. Identification of the Operating Entity

Anytime Invoice (the “Service”) is operated by Loopverse Enterprises Pty Ltd (the “Operator”, “we”, “us”, “our”). These Terms of Service (the “Terms”) are a binding agreement between the Operator and the person or entity that accesses or uses the Service (the “Customer”, “you”, “your”). The Operator’s Australian Business Number is available on request through the contact details in section 13. The Service is offered to businesses and is not directed at consumers acquiring goods or services for personal, domestic or household use.

2. Eligibility and Account Responsibilities

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. If you use the Service on behalf of a business, you represent that you are authorised to bind that business to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate, current and complete information when creating and maintaining your account, and you must notify us promptly of any unauthorised use of your account or any other breach of security.

3. Subscription Tiers, Billing and Free Tier Conditions

The Service is offered on free and paid subscription tiers. Paid subscriptions are billed monthly or annually, as selected at sign-up, in advance. You may cancel a paid subscription at any time and cancellation takes effect at the end of the then-current billing period; access to paid features continues until that date. Fees are non-refundable except as required by the Australian Consumer Law.

A free tier is provided without a service-level commitment. It may be subject to usage limits, feature restrictions and change over time. A free tier is not a representation of fitness for any particular business purpose, and you should not rely on it as a substitute for a paid tier where continuity matters to you.

4. Payment Processing via Stripe Connect

Online card payments are enabled through Stripe Connect Standard, provided by Stripe, Inc. and its affiliates (“Stripe”). Where you enable online payments, you enter into the Stripe Connected Account Agreement directly with Stripe, and Stripe (not the Operator) provides the payment processing service to you.

The merchant of record for a payment made against an invoice you issue is you, not the Operator. You are solely responsible for your own customer disputes, chargebacks, refunds, reversals, fraud screening outcomes and customer fulfilment. The Operator is not a bank, payment facilitator, money transmitter, or merchant of record, and does not hold, control or take title to funds paid on your invoices.

Your use of Stripe’s services is governed by Stripe’s own terms and policies. The Operator is not responsible for Stripe’s acts, omissions, availability, or decisions, including decisions to withhold, reverse or delay settlement.

5. Merchant Card Surcharging Rules

The Operator does not add any surcharge or card fee to any amount a payer is asked to pay, and no card-specific fee is itemised to any payer on any payment path.

If you choose to apply a surcharge to card payments yourself, you warrant that the surcharge does not exceed your own actual cost of accepting that payment method, as required by the Competition and Consumer Act 2010 (Cth) and the payment surcharging standards made under it. You are solely liable for your own surcharging practices.

You may instead offer a discount for payment by a non-card method (such as bank transfer or direct deposit). A discount offered for using a cheaper payment method is not a surcharge and is not prohibited by the surcharging rules, provided it is disclosed clearly and is not framed as a penalty for paying by card. Any such discount, and the wording used to describe it on an invoice, is your responsibility as the merchant.

6. Tax and Regulatory Responsibilities

The Service is a software utility. It is not tax, legal, accounting, bookkeeping, financial or business advice, and no part of the Service constitutes such advice. The Operator is not your tax agent, is not a registered tax agent, and does not act on your behalf in any dealing with the Australian Taxation Office (ATO) or any other authority.

You are solely responsible for your own compliance with all applicable tax and regulatory obligations, including: your registration status for goods and services tax (GST); the accuracy and completeness of every tax invoice you issue; the rates, bases and treatment of GST and any other tax you apply; the validity of any Australian Business Number (ABN) you supply or rely on; and your record-keeping, reporting, lodgement and payment obligations. The calculation and document features of the Service are tools that assist you and do not relieve you of any of those obligations.

7. Independent Contractor and Sham Contracting Safe Harbour

The Service generates invoices. Generating, sending or paying an invoice through the Service does not create, evidence or determine an independent contractor relationship, and does not convert any person into an independent contractor for the purposes of the Fair Work Act 2009 (Cth) or any other law.

The Operator makes no representation, and gives no advice or determination, about the correct classification of any worker, including whether a person is an employee or an independent contractor, and does not assess or verify the genuineness of any contracting arrangement. You warrant that you will not use the Service to represent an employment relationship as an independent contracting arrangement, and that you are solely responsible for ensuring your engagement of any worker complies with all applicable workplace, tax, superannuation and industrial laws.

8. Acceptable Use

You must not use the Service to:

9. Intellectual Property and Customer Data Ownership

The Operator (or its licensors) owns all intellectual property rights in the Service, including its software, design, templates, and branding. You are granted a non-exclusive, non-transferable, revocable licence to use the Service during your subscription, on these Terms.

You retain all rights, title and interest in the data you submit to the Service, including your invoice content, customer records and business details. You grant the Operator a limited licence to host, process, transmit and display that data only as required to operate and support the Service, as described in our Privacy Policy. To the extent that invoice templates supplied by the Operator form part of a document you generate, that does not transfer ownership of the data or of the template to you beyond that documented use.

10. Statutory Guarantees and Section 64A ACL Limitation of Liability

Nothing in these Terms excludes, restricts or modifies any guarantee, warranty, condition, right or remedy you may have under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)), or under any other law, that cannot lawfully be excluded, restricted or modified.

Where the Australian Consumer Law applies, and our services are not of a kind ordinarily acquired for personal, domestic or household use, our liability for a failure to comply with a consumer guarantee is limited, at our election, to one of the following:

This remedy limitation applies to the maximum extent permitted by section 64A of the Australian Consumer Law, and does not apply to any guarantee or liability that the law does not permit us to limit.

11. Consequential Loss Exclusion, Force Majeure and Third-Party Outages

Subject to section 10, and to the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive or consequential loss or damage, however arising and whether in contract, tort (including negligence), statute or otherwise. This exclusion applies to, without limitation: loss of revenue, loss of profits, loss of anticipated savings, loss of business opportunity, loss of contracts or customers, loss of goodwill, business interruption, and loss or corruption of data.

The Service depends on infrastructure and services supplied by third parties, including, without limitation, Neon (database hosting), Cloudflare (file storage and content delivery), Stripe (payments), Clerk (authentication), Resend (email delivery) and our hosting providers. Subject to section 10, the Operator is not liable for any failure, delay, degradation, interruption or outage of the Service caused by the act, omission, failure or unavailability of any such third party, or by any event beyond our reasonable control.

Subject to section 10, our total aggregate liability to you for all claims arising out of or in connection with these Terms or the Service is limited to the total fees you paid to us in the twelve (12) months immediately preceding the event giving rise to the first such claim. Where you have used the Service on a free tier only, that amount is nil.

The limitation in the preceding paragraph is a genuine attempt to apportion risk having regard to the fees paid, and applies only to the extent permitted by law. It does not limit any liability that cannot lawfully be limited, including under the Australian Consumer Law.

12. Suspension, Termination and Data Retention

We may suspend or terminate your access to the Service if you breach these Terms, if your account is used unlawfully, if required by law, or if we discontinue the Service. You may terminate your account at any time by contacting us.

On termination, your right to use the Service ends. You should export any data you wish to retain before terminating. We may retain your data after termination for as long as required to comply with our legal obligations, to resolve disputes and to enforce our agreements. Australian tax law generally requires businesses to keep records relating to tax invoices and GST for at least five years; the Operator does not provide, and does not constitute, record-keeping or retention advice, and you should obtain your own advice about how long you must retain your business records.

13. Governing Law, Dispute Resolution and Contact

These Terms are governed by the laws of the State of New South Wales, Australia. Each party submits to the non-exclusive jurisdiction of the courts of New South Wales, Australia, and of the courts competent to hear appeals from them.

Before commencing proceedings, each party will use reasonable endeavours to resolve any dispute arising out of or in connection with these Terms by good-faith negotiation, and may agree to refer the dispute to mediation. Nothing in this clause prevents a party from seeking urgent interlocutory or injunctive relief, and nothing in this clause limits any right you have under the Australian Consumer Law.

We may modify these Terms from time to time. We will notify you of material changes by email or through the Service, and continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
